Welcome to Zyrova Technologies LLC. These Terms and Conditions (“Terms”) govern your access and use of our website, services, and products, including but not limited to web design, development, SEO, digital marketing, and website maintenance services. By using our services, you agree to comply with these Terms.

If you do not agree with these Terms, please do not use our services.

1. Definitions

"Company," "we," "us," or "our" refers to Zyrova Technologies LLC.
"Client," "you," or "your" refers to any individual, business, or entity using our services.
"Services" refers to our web design, development, SEO, digital marketing, maintenance, and other related services.
"Website" refers to [www.zyrova.com] and all its subdomains.

2. Eligibility

To use our services, you must:

Be at least 18 years old.
Provide accurate, complete, and current information when signing up.
Use our services for lawful purposes only.

We reserve the right to refuse or terminate services if we believe you have violated these Terms.

3. Website Development & Maintenance Policy

3.1 Website Ownership & Hosting

Websites built by Zyrova Technologies LLC must remain hosted and maintained by us unless otherwise agreed upon in writing.
After 12 months, the Client must subscribe to one of our Website Maintenance Plans to keep their domain, hosting, and website active.

3.2 Website Maintenance Subscription Requirement

Clients failing to renew their maintenance plan may have their website deactivated or deleted after a 30-day grace period.
Maintenance plan pricing is subject to change, with prior notice provided to Clients.

3.3 Website Transfer Requests

Clients requesting to migrate their website to another provider must notify us in writing at least 30 days in advance.
A website transfer fee may apply depending on the complexity of the migration.

4. Payment Terms & Billing

4.1 General Payment Terms

All payments for services must be made in advance unless otherwise stated in a signed contract.
Payments are accepted via credit/debit card, PayPal, wire transfer, and other approved methods.
Failed payments must be resolved within 7 days to avoid service suspension.

4.2 Subscription & Automatic Renewal

Maintenance plans and recurring services are billed automatically on a monthly or annual basis.
Clients must cancel their subscription at least 7 days before the renewal date to prevent auto-renewal.

4.3 Late Payments & Service Suspension

Late payments may result in suspension of services until payment is made.
Accounts overdue by 30+ days may incur late fees or termination.

5. Refund & Cancellation Policy

5.1 Refund Eligibility

Refunds are only provided under the following conditions:

Website Development Services: Refunds are available within 7 days of the initial deposit, provided no work has been started.
SEO & Digital Marketing Services: No refunds once the service has commenced.
Website Maintenance Plans: No prorated refunds for canceled plans.

5.2 Non-Refundable Services

Refunds will not be issued for:

Approved custom website designs or developments.
SEO & marketing services already delivered.
Domain registrations, hosting fees, and third-party software licenses.

5.3 Cancellation Process

Clients must request cancellations via email to [support@zyrova.com].
Clients can disable auto-renewal via their account settings.

6. User Responsibilities

By using our services, you agree to:

Provide accurate and updated information.
Not engage in illegal activities using our services.
Maintain backups of important data.
Refrain from spamming, hacking, or violating intellectual property rights.

7. Data Privacy & Security (GDPR & CCPA Compliance)

7.1 Data Collection

We collect personal data per our Privacy Policy.
We comply with GDPR (for EU users) and CCPA (for California users) regarding data rights.

7.2 User Rights

Users may: ✔ Request access to personal data. ✔ Request correction or deletion of data. ✔ Opt out of marketing communications.

7.3 Data Protection

We employ SSL encryption, secure payment gateways, and access controls to protect user data.

8. Intellectual Property & Copyright

Zyrova Technologies LLC retains ownership of all intellectual property related to designs, code, and creative assets unless explicitly transferred.
Clients cannot resell or redistribute our proprietary services without prior consent.
Unauthorized use of our content may lead to legal action.

9. Service Modifications & Pricing Changes

We reserve the right to modify services, pricing, or features at any time.
Clients will receive prior notice for significant changes.

10. Limitation of Liability

Zyrova Technologies LLC is not responsible for data loss, security breaches, or financial loss caused by third-party service providers.
We do not guarantee specific SEO rankings or digital marketing results.
Our total liability shall not exceed the amount paid by the Client in the past 12 months.

11. Dispute Resolution & Governing Law

Disputes must first attempt resolution via mediation before legal action.
These Terms are governed by the laws of Georgia, USA.
Clients waive the right to class-action lawsuits against Zyrova Technologies LLC.

12. Changes to These Terms

We may update these Terms from time to time. Clients will be notified of significant changes via email or website notices. Continued use of our services constitutes acceptance of the new Terms.
